BY ACCESSING OR USING THE SITES, YOU REPRESENT THAT (A) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE SITE TERMS, (B) YOU ARE OF LEGAL AGE AND NOT FROM RESTRICTED TERRITORY (AS DEFINED BELOW) TO FORM A BINDING CONTRACT WITH METAIN, AND (C) YOU HAVE THE AUTHORITY TO ENTER INTO THE TERMS OF USE PERSONALLY OR ON BEHALF OF THE ENTITY YOU HAVE NAMED AS THE REGISTERED USER, AND TO BIND THAT ENTITY TO THE SITE TERMS. YOU BEAR FULL RESPONSIBILITY FOR VERIFYING THE IDENTITY, LEGITIMACY, AND AUTHENTICITY OF ANY ASSETS YOU PURCHASE.

YOU AGREE TO BE BOUND BY THE SITE TERMS DESCRIBED HEREIN AND ALL TERMS INCORPORATED BY REFERENCE. YOUR ACCESS TO AND USE OF THE SITES CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO ABIDE BY EACH OF THE SITE TERMS SET FORTH BELOW.

METAIN provides this website, metain.io and its media channels (together with its contents, all sub-websites and all sub-media channels, distributed application, any application thereof or this site), for your informational purposes only and allows users to acquire, buy and sell own and transfer, the unique digital assets (‘Service(s)’). The term ‘you’ refers to the individual or legal entity, as applicable, identified as the registered user when you submit your registration information on the Sites. 

METAIN reserves the right to change or modify any of these Site Terms or any policy or guideline of the Sites, at any time and in its sole discretion. We recommend your frequent review the Site Terms and applicable policies whenever you access the Sites and at least every thirty (30) days to make sure that you understand the terms and conditions that will apply to you and your use of the Sites. If you do not agree to the amended terms, you must stop using the Sites.

1. The Sites 

   1. To use the Sites, you will need to have a web browser and an Ethereum wallet that is compatible with the Non-Fungible Token (NFT) standard on the Ethereum network. 

   2. All transactions regarding Service are managed and confirmed via the Ethereum blockchain. You understand that your Ethereum public address may be made publicly visible whenever you engage in a transaction. 

   3. We do not own nor control your web browser, your Ethereum wallet, the Ethereum network, or any other third-party site, product, or service that you might access, visit, or use for the purpose of enabling you to perform a transaction for our Service. We are not liable for the acts or omissions of any such third parties, nor will we be liable for any damage that you may suffer as a result of your transactions or any other interaction with any such third parties. 

   4. You may be able to create an account on the Sites and will need. If so, you agree to provide true, accurate and complete information about yourself including your real name, address, phone number and e-mail address, along with other information that may be required from time to time. If you become aware of any unauthorized use of your account, contact us immediately. METAIN will use your personally identifying information as set forth in the METAIN Privacy Policy. You represent and warrant that you have reviewed the Privacy Policy and agreed to its terms.

   5. The Site may show certain pricing data and third party content or information otherwise that has been loaded and collected from the Ethereum blockchain or from third party website. We are not liable for any incorrect information or typographical errors of any kind, including any incorrect information that is due to a coding error, blockchain code errors or due to a data outage or information party content that is not our creation or within our control. It is your duty and obligation to confirm any and all data on your own and base any decisions you make on your own information and data. 

   6. Any investment calculation, figure or information are displayed for information and reference purposes only. No information from the Sites shall be interpreted, construed or otherwise deemed to be a recommendation, persuasion, representation or warranty for any products, investment, items, idea or concept otherwise presented in the Sites. You take sole responsibility in using the Sites or participating in any activities or derivative thereof of the Sites. 

   7. Use of the Sites in violation of applicable laws is expressly prohibited. You are solely responsible for verifying that your use of the Sites and consummation of transactions contemplated by the Sites are permitted in your jurisdiction and comply with all applicable laws, regulations, orders and court decisions. 

   8. If you have any questions regarding legality in your jurisdiction, please consult your legal counsel. When you access, resister for or use the Sites, you do so at your own risk, and you are solely responsible for complying with all applicable rules and regulations in connection with activities relating to the Sites.

2. The Service; Investment Offerings

   1. You may decide on your own to participate in potential investment as offered herein (Investment) whether in METAIN capital or METAIN real estate investment scheme (altogether Interests) and represented by cryptographic digital tokens as MEI Token or NFT as the case maybe.

   2. You also understand and agree that METAIN does not control and is not liable for any transactions made using the Ethereum wallet or your other accounts. All payment transmissions in connection with the Investment are handled through the designated customer monies account such that your funds are not co-mingled with METAIN’s own funds. The details of such segregation of monies shall be further detailed in the specific agreement entered between you and METAIN for each Interests offering.

   3. You agree that the Interest shall be transacted using Ethereum blockchain-based smart contract digital tokens meeting the ERC-20 standard and such Interest shall be governed by the terms and conditions set forth in the applicable investment documents related to the specific Interest.

   4. By transacting the Interests, you agree, understand and assume full responsibilities in your purchase of the Interest and that:

      1. The Interest, its merit, material thereof have not been registered with; approved; passed upon and/or endorsed by any State regulator(s), of which you agree and may decide on your own to assume all risks and responsibility in complying with its terms, rules and risks;

      2. The Interests being offered are highly speculative in nature, involve a high degree of risk and should be purchased only by persons who can afford to lose their entire investment. There can be no assurance that METAIN’s business objectives will be achieved or that a secondary market will ever develop for the Interests, whether via the Sites, via third party registered broker-dealers or otherwise. Investing in private placements requires high risk tolerance, low liquidity concerns, and long-term commitments. The Interests being sold are not insured, may lose value, and there is no bank or other guarantee;

      3. You are not a citizen or resident of, or person subject to jurisdiction of, or located in, Cuba, Democratic People's Republic of North Korea, Islamic Republic of Iran, Syria, the Crimea or Sevastopol, the People Republic of China (excluding Hong Kong, Macao and Taiwan), the United States of America (including its territories: American Samoa, Guam, Puerto Rico, the Northern Mariana Islands and the U.S. Virgin Islands), Republic of Singapore or any countries for which the Interest shall be considered security (whatsoever called) (Restricted Territory) and you shall not access the Sites or transact the Interest whilst you are in any of the Restricted Territory; 

      4. You are not subject to any sanctions administered or enforced by any country, government or international authority, and not acting in the interests of such person.

   5. Upon your sole decision to participate, we, at our sole discretion, may allow for such participation and always subject to our satisfaction that you meet legal requirements for participation, consent of relevant third parties, execution of definitive documentation. 

   6. We make no representation or warranty that any potential transaction you have identified will take place, or that if it takes place that you will be allowed to participate. METAIN management decisions are final in all matters relating to the Sites, Service, Interests and other activities related to the Sites.

   7. If you are offered the opportunity to participate in a transaction, you may be required to sign additional documentation and completing additional steps, including but not limited to 

      1. Completing METAIN’s user registration process, 

      2. Entering into specific agreements for the Interest with the specific Interest, 

      3. Creating a digital asset wallet with a third party, 

      4. Finalise the purchase using a specified cryptocurrency/currency, and 

      5. Any other steps as necessary and as required by METAIN from time to time to complete such transaction.

3. Ownership, License, Restrictions

   1. For the purpose of the Site Terms, "Own" means, with respect to an Interest, an Interest that you have purchased or otherwise rightfully acquired from a legitimate source, where proof of such purchase is recorded on the relevant Ethereum blockchain.

   2. When you purchase an Interest, you Own only the NFT or MEI Token, not any associated property or equity, or any other METAIN Materials (as that term is defined below), or any IP of third parties. You can trade the Interest, sell it, or give it away, and shall always subject to this Terms and Conditions, and the associated terms of the Interest purchase.

   3. We Own the Sites, and any associated properties or capital thereof of METAIN pursuant to applicable laws. You acknowledge and agree that METAIN (or, as applicable, our licensors) owns all legal right, title and interest in and to all other elements of the Sites, and all intellectual properties (including, without limitation, all designs, names, copyrights, trademarks, patents, systems, methods, information, computer code, software, services, “look and feel”, organization, compilation of the content, code, data, and all other elements of the Sites) (collectively, the METAIN Materials). 

   4. You are granted a limited, non-sublicensable license and revocable at anytime to access and use METAIN Material and electronically copy, (except where prohibited without a license) and print to hard copy portions of the METAIN Materials for your informational, non-commercial and personal use only. Such license is subject to these Site Terms and does not include: 

      1. Any resale or commercial use of the Sites or the METAIN Materials therein; 

      2. The distribution, public performance or public display of any METAIN Materials;

      3. Without our prior consent, linking (including, but not limited to, any link, hyperlink, in line link or deep link) (collectively, “Link“), mirroring, copying any parts or frame this Site or any part thereof to any other web page, website, server, or otherwise. You must not use any of the METAIN Materials, particularly the trademarks, as part of a link to or from any site

      4. Modifying or otherwise making any derivative uses of the Sites and/or the METAIN Materials, or any portion thereof;

      5. Use of any data mining, robots or similar data gathering or extraction methods;

      6. Downloading (other than the page caching) of any portion of the Sites, the METAIN Materials or any information contained therein, for commercial usage;

      7. Any use of the Sites or the METAIN Materials other than for its intended purpose.

   5. We may at any time, and at our sole discretion, instruct you to disable, remove, and terminate and/or to organise the disabling, removal or termination of any: (i) Link from any web page or website, or (ii) mirroring or framing of this Site or any part thereof. You must comply immediately upon receiving such instructions. We may, but are not obliged to, disclose our reasons for issuing such instructions.

   6. Other than expressly stated in Site Terms, you do not have any other rights in the METAIN Materials. You acknowledge that the METAIN Materials are protected by, as applicable, copyright, trade dress, patent, and trademark laws, international conventions, other relevant intellectual property and proprietary rights, and applicable laws. All METAIN Materials are the copyrighted property of METAIN or its licensors, and all trademarks, service marks, and trade names associated with the Sites or otherwise contained in the METAIN Materials are proprietary to METAIN or its licensors. You may not use the METAIN name without our prior written consent. We may limit access, terminate your account or avail to any remedies pursuant to applicable laws for any violations of the Site Terms as provided herein.

   7. Except as expressly set forth herein, your use of the Sites does not grant you ownership of or any other rights with respect to any Interest, content, code, data, or other METAIN Materials that you may access on or through the Sites. We reserve all rights in and to the METAIN Materials that are not expressly granted to you in the Site Terms. 

4. Limitation of Liability

   1. METAIN provides this Site on an “as is” and "as available" basis. To the maximum extent permitted by applicable laws, METAIN excludes all representations, warranties or guarantees, whether express or implied, in relation to the Site; or the reliance of third party or you on the content of the Sites unless such is the result of our negligence.

   2. METAIN shall use reasonable efforts to ensure that the Sites is free from viruses and other malicious or harmful content. METAIN does not guarantee that your use of this Site shall not cause damage to your computer or other device. To the maximum extent permitted by laws, we shall not be liable to you for any loss or damage you suffer as a result of viruses or other malicious or harmful content that you access from or via the Sites.

   3. We do not guarantee that the Sites, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of the Sites for any reason.

   4. To the maximum extent permitted by law, METAIN excludes all liabilities to its directors, members, employees or agents for any direct, special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of or inability to use the Sites, the Service, the METAIN Materials. METAIN limits its aggregate liability as above stated to the amount the specific user bringing the claim pay for the access or use of the Sites.

   5. There are risks associated with using an internet based blockchain protocol or linked services or third party content and you shall exclude METAIN from all liability for risks relating to hardware, software and internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to information stored within your account or the digital assets stored in your wallet. 

   6. We hereby disclaim any and all liability and responsibility for the content available on any third party website that Links, mirrors or frames this Site or any part thereof. Under no circumstances do We acknowledge or affirm, expressly or implicitly, any association or affiliation in any manner whatsoever with any trademarks, trade names, service marks, logos, insignia or other devices used or appearing on third party websites that Link, mirror or frame this Site or any part thereof.

5. Indemnification

   You agree to defend, indemnify and hold harmless METAIN, our affiliates from time to time, and our and their respective directors, officers, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorney's fees on a full indemnity basis) arising from or relating to: (a) your use of and access to the Sites; (b) your violation of any provision of these Site Terms; or (c) your violation of any third party right, including any copyright, property, or privacy right. This defence and indemnification obligation will survive the termination of these Site Terms and your use of the Sites.

6. Governing Law and Jurisdiction

   This Site Terms and your use of the Sites shall be governed and construed in accordance with the laws of Canada. You agree to submit to the exclusive jurisdiction of the Canada courts. A printed version of these Site Terms and any notice given in electronic form shall be admissible in judicial or administrative proceedings based on or relating to the Site Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You and METAIN agree that any cause of action arising out of or related to the Sites must commence within 06 months after the cause of action arose; otherwise, such cause of action is permanently barred.

7. General

   1. The Site Term may be translated and presented in different languages which shall have equal validity. In the event of disprecancies, the English version shall prevail.

   2. The most recent Site Terms, policy and guideline of the Sites shall be effective as of the time they are published and supersede all previous versions.
